Terms of engagement
The service
Dis-Solved (the "Service") provides computational pharmacology consulting, including bespoke machine learning model development, ADMET and PK-PD simulation, cheminformatics pipeline consulting, and expert review. The Service is delivered by Nabil Yasini-Ardekani, trading as Dis-Solved, based in London, United Kingdom ("we", "us").
Consultations
The initial consultation costs £100 (inclusive of VAT where applicable), paid in advance via Stripe, for sixty minutes. If the call cannot proceed for reasons within our control, the fee is refunded in full. If you cancel with at least twenty-four hours' notice, the fee is refunded in full. Cancellations made within twenty-four hours of the scheduled time are non-refundable but may be rescheduled once at no extra charge.
Project work
Following a consultation, you may receive a written quote with defined scope, deliverables, and timeline. Project work proceeds only after your written acceptance of the quote and any agreed deposit. Once accepted, scope changes are handled by written variation; new work is quoted separately. Standard projects close within two to six weeks unless otherwise agreed.
Deliverables and intellectual property
Unless otherwise agreed in writing, you receive the deliverables of the engagement (trained models, source code, reports, analyses) under a non-exclusive, royalty-free licence sufficient for your stated use. We retain ownership of underlying methods, tooling, and any pre-existing intellectual property used to deliver the work. Open-source components used in the engagement remain subject to their respective licences.
Confidentiality
Information you share in connection with an engagement is treated as confidential and used only for the purposes of delivering the work, unless you have given written consent to wider use or disclosure is required by law. We will sign your standard non-disclosure agreement on request.
Acceptable use of deliverables
Computational predictions are decision-support outputs intended to inform human judgement; they are not clinical, regulatory, or investment advice. You agree to use the deliverables in good faith and not to misrepresent their accuracy, scope, or provenance. Use of deliverables in clinical settings, regulatory submissions, or investment decisions remains your responsibility.
Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any engagement is limited to the fees paid for that engagement. We exclude liability for indirect, consequential, or special losses, including loss of profit, loss of opportunity, and loss of data. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under law.
Termination
Either party may terminate an engagement on written notice for material breach not cured within fourteen days, or on immediate notice for insolvency. On termination, you pay for work completed up to the date of termination and we deliver the work in progress in its current state.
Governing law
These terms are governed by the laws of England and Wales. Any dispute arising under them is subject to the exclusive jurisdiction of the courts of England and Wales.
